授業の目的・内容 ／Course Objectives	米国の取締役会制度に関する英語で書かれた文献等（学術書、学術論文又は重要裁判例）を講読し、米国におけるコーポレート・ガバナンスに関する専門知識を深める。また、適宜わが国の会社法との比較も行う。
授業の形式・方法と履修上の注意 ／Teaching method and Attention the course	指定箇所の和訳を確認した後、教員が内容について補足する。
事前・事後学修の内容 ／Before After Study	事前に次回取り上げる内容を和訳する。事後には講義内容を正しく理解できたかを確認する。
